Maungaharuru-Tangitū Trust (MTT) is a Treaty of Waitangi Post Settlement Governance Entity (PSGE) based in the Hawke’s Bay and signed a Deed of Settlement with the Crown on 25 May 2013. It represents the collective interests of around 6,000 registered hapū members. The Trust has been in a growth stage for the past five years. MTT has developed a governance and organisational structure to manage the assets obtained through the Settlement, and has been driving investment growth and community development. MTT employs six staff which is led by a Kaiwhakahaere Matua (General Manager).
MTT have assets with a market value approx. $42million with current interests in forestry, farming, commercial property, passive investments and private equity.
The Trust is specifically seeking an Independent Chair to help lead the company Maungaharuru-Tangitū Limited (MTL) a subsidiary of MTT, to ensure an effective governance culture to grow investments and the organisation.
The MTL Board is looking for an Independent chair with proven leadership, facilitation and visionary governance experience. Some knowledge of the PSGE environment would be an advantage, along with a community development orientation using a partnership and solution-based approach. It would suit someone with a good commercial track record having previously done due diligence, collaborative investments (LP’s, JV’s) with extensive networks to connect to new partners. In particular, experience in Commercial Property, Agribusiness, Forestry and Investment Shareholdings is sought.
Responsibilities of Directors
Ultimately accountable for the performance of the company, the principal duty of the MTL Board of Directors is to govern by determining the strategy and overall direction for MTL. The Directors are also responsible for overseeing and holding management to account through effective plans and measures, including risk management and compliance.
Expectation of Directors
MTL Meetings are held bi-monthly, so it is expected that the Chair and Directors would be available to attend those meetings in person, as well as some sufficient time to prepare for the meetings. The meetings are usually held in the Hawke’s Bay. Additionally, there could be special meetings or teleconferences required from time to time. Whilst MTL will consider applicants outside of Hawke’s Bay, ideally, they would prefer someone who lives in and understands Hawke’s Bay and/or somebody who frequently visits the Hawke’s Bay region.
Term of Appointment
The usual term is 3 years. Term will commence upon appointment - preferably immediately.
In terms of the selection process, MTT are hoping to meet with any prospective applicants between the 27th to 29th November, so availability to attend an interview on those days in person would be advantageous.
The MTL Independent Chair receives an annual fee and is also reimbursed for travel and other expenditure to complete their duties.
